- Web Development and Design
- Online Reputation Management These services aim to increase online visibility, drive traffic, and improve the Client’s overall online presence.
3. Client Responsibilities
- Access to Information: The Client agrees to provide accurate and complete information as required to perform digital marketing services effectively.
- Approval Process: The Client must review and approve all materials and content related to marketing campaigns.
- Content Ownership: The Client retains full ownership of any proprietary content, images, and branding provided to Virtual Customer Solution for marketing purposes.
4. Payment Terms and Conditions
- Pricing: Fees for digital marketing services are detailed in the Service Agreement or Proposal provided to the Client.
- Payment Schedule: The Client agrees to make payments as outlined in the Agreement, typically on a monthly or project basis.
- Late Payments: Failure to make timely payments may result in a suspension of services until payment is received. Additional late fees may apply.
5. Service Delivery and Timelines
- Virtual Customer Solution strives to deliver services promptly and within agreed-upon timelines. However, delays may occur due to factors outside of our control (e.g., third-party platforms, technical issues).
- Changes in the scope of work may affect delivery timelines and will be communicated to the Client.
6. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information shared during the course of the engagement. Virtual Customer Solution will not disclose or share the Client’s proprietary data without explicit consent.
7. Intellectual Property
- Ownership: The Client retains ownership of all materials provided to Virtual Customer Solution, including logos, graphics, and content.
- Work Created: Any work created by Virtual Customer Solution, such as marketing strategies, content, and designs, remains the intellectual property of Virtual Customer Solution until full payment is made.
8. Limitation of Liability
- Virtual Customer Solution is not responsible for any indirect, incidental, or consequential damages, including but not limited to loss of revenue or profits, due to the use or inability to use our services.
- Virtual Customer Solution does not guarantee specific results, including ranking positions, traffic volume, or revenue increase, as many external factors influence digital marketing outcomes.
9. Termination of Services
- Either party may terminate this Agreement by providing 30 days’ written notice.
- Virtual Customer Solution reserves the right to terminate services if the Client breaches any of the terms outlined in this Agreement.
- Upon termination, the Client must settle any outstanding payments for services rendered up to the date of termination.
10. Amendments and Modifications
Virtual Customer Solution reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client, and continued use of services will constitute acceptance of the modified terms.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Virtual Customer Solution operates.
